This End-User License Agreement (“Agreement,” “EULA”) is a legal agreement between you (“User,” “End-User,” “you”) and ilearntricity (“Company,” “we,” “our,” “us”) for the use of ilearntricity’s digital products, including but not limited to e-books, PDFs, training materials, lessons, templates, online course content, software, videos, or any other downloadable or accessible digital content (collectively, “Licensed Materials”).

By downloading, accessing, or using the Licensed Materials, you agree to be bound by this EULA.
If you do not agree, do not download or use the Licensed Materials.

1. Grant of License

Upon purchase, ileartricity grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to:

• Download and access the Licensed Materials
• Use the materials for personal, educational, or internal professional development purposes only

This license is granted strictly for one user per purchase unless otherwise stated.

2. Restrictions

You may NOT, under any circumstances:

2.1 Redistribute or Share

• Share, email, distribute, sell, or gift the Licensed Materials
• Upload the Licensed Materials to the internet, cloud folders, group chats, or social media
• Provide access to others through your login or device

2.2 Modify or Create Derivatives

• Copy, reproduce, alter, translate, or create derivative works
• Remove branding, watermarks, copyright notices, or intellectual property markers

2.3 Commercial Use

• Sell, license, or distribute the Licensed Materials
• Use the Licensed Materials in paid training, coaching, consulting, or as part of another product
• Use the materials in a way that competes with ilearntricity

2.4 Unauthorized Access

• Circumvent security, access controls, or download limitations
• Use automated tools or bots to access the Licensed Materials

Any violation of these restrictions results in immediate termination of your license.

3. Intellectual Property Rights

All Licensed Materials remain the sole property of ilearntricity and are protected under Canadian copyright, trademark, and intellectual property laws.

You acquire no ownership rights, only a limited license to use the materials as permitted under this EULA.

4. Termination of License

Your license is automatically terminated if:

• You breach any term in this EULA
• You engage in unauthorized sharing or distribution
• A payment or chargeback dispute is filed
• Fraud or misuse is detected

Upon termination:

• You must delete all copies of the Licensed Materials
• You lose all access to course portals or downloads
• No refunds will be provided

We may pursue legal action for infringement or damages.

5. Updates and Modifications

We may:

• Update or modify the Licensed Materials
• Improve, replace, or remove content
• Change access requirements or delivery systems

Users are not entitled to free updates unless explicitly stated at purchase.

6. Access Limitations

Digital access may include:

• Time-limited course access
• Download limits
• Login limits (e.g., one user, two devices)

We are not responsible for:

• Changes in technology that affect access
• Incompatibility with outdated devices or software
• User failure to download materials before access expires

7. Technical Support

We provide support for:

• Broken links
• Access issues
• Account login issues
• File corruption or delivery errors

Support is available at:

Support does not include customization, tutoring, or technical coaching unless paid for separately.

8. Disclaimer of Warranties

The Licensed Materials are provided “as is,” without warranties of any kind.
We do not guarantee:

• That the materials will meet your expectations
• That the content is free of errors
• That access will be uninterrupted
• That results or performance improvements will occur

Use is at your own risk.

9. Limitation of Liability

To the fullest extent allowed under Canadian law:

• ilearntricity is not liable for any indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid for the Licensed Materials
• We are not responsible for lost profits, data loss, or business interruption

10. Indemnification

You agree to indemnify and hold harmless ilearntricity from any claims, losses, or damages arising from:

• Unauthorized sharing or misuse
• Violations of this EULA
• Infringement of third-party rights
• Illegal or unethical use of the materials

11. Governing Law

This Agreement is governed by the laws of Canada and the province of Ontario, without regard to conflict of law principles.

Any disputes shall be resolved in the courts located in Ontario, and you consent to that jurisdiction.

12. Changes to This Agreement

We may modify this EULA at any time.
Changes take effect immediately upon posting.
Your continued use of the Licensed Materials constitutes acceptance of the updated terms.
